Business Terms and Conditions

2.1 Credit Bundles may be ordered by contacting us at contact@locacity.co.uk. Orders are not binding until accepted by us in writing.

2.2 Prices for Credit Bundles are as agreed with You in writing prior to your order being accepted. We reserve the right to revise prices for future orders on reasonable notice; any such revision will not affect Credit Bundles already purchased.

2.3 Payment is due by You within 14 (fourteen) days of the date of Our invoice unless otherwise agreed in writing. Payment must be made by bank transfer to the account details shown on the invoice.

2.4 We will issue a VAT invoice upon request. Where VAT is chargeable, it will be added to the invoice at the prevailing rate.

2.5 If payment is not received by Us by the due date, we reserve the right to suspend generation of further reports until the outstanding balance is cleared.

2.6 Report Credits are non-refundable once purchased, except where we are in material breach of these Terms or as required by applicable law.

2.7 Report Credits expire 24 (twenty-four) months from the date of purchase. Expired Credits are forfeited without refund.

3.1 Upon receipt of cleared payment, We grant you a non-exclusive, non-transferable, revocable licence to use each Enhanced Report generated against a Credit solely for the Permitted Use during the Licence Period.

3.2 The Permitted Use is strictly limited to inclusion of the Enhanced Report in property particulars, sales brochures, and marketing materials relating solely to the Property Address for which that report was generated, and distribution of the Enhanced Report directly to prospective buyers, renters, or investors who have made a genuine enquiry regarding that Property Address.

3.3 You may share the Enhanced Report directly with prospective buyers, renters, or investors of the Property Address as part of your normal property marketing activity, for example by attaching it to a property brochure or responding to a direct enquiry. You must not publish the Enhanced Report on any website, portal, database, or publicly accessible platform or medium, nor make it available to any person who has not made a specific and genuine enquiry regarding that specific Property Address. You are responsible for ensuring that recipients of the Enhanced Report are made aware that the Enhanced Report is provided for their private use only and may not be redistributed to, shared with, or made available to any other party or in any public forum in any way whatsoever.

3.4 The Licence Period is 12 months from the date the Enhanced Report is generated. The generation date for each Enhanced Report is stated on that Enhanced Report. You must cease all distribution and use of the Enhanced Report upon expiry of the Licence Period.

3.5 You acknowledge that each Enhanced Report reflects the most recently available data on our service as of the date stated on that Enhanced Report, and that it is subject to the restrictions and limitations in Clause 5, and that You must not represent the report as containing real-time or current data or otherwise in a manner inconsistent with this sub-clause or the restrictions and limitations in Clause 5.

3.6 If You wish to receive a more current report in relation to a Property Address for which your licence has expired, you must use a new Credit and generate a new Enhanced Report, which may require purchasing additional Credits.

3.7 The licence granted under this section does not include any right to:

• (a) sublicense, resell, or otherwise transfer the Enhanced Report or any rights in it or over it to any third party as a standalone item, product or service;
• (b) modify, adapt, crop, reformat, or create derivative works from the Enhanced Report in any form whatsoever;
• (c) extract, reproduce, or publish any rating, score, ranking, data, representation, information, or analytical finding from the Enhanced Report as a standalone statement or in any other document, communication, publication, medium, or forum whatsoever, whether or not attributed to Locacity, without our prior written consent;
• (d) remove, obscure, or alter the Locacity name, logo, website address, or any other branding or attribution on the Enhanced Report;
• (e) use the Enhanced Report for any insurance, mortgage, surveying, valuation, formal investment analysis, legal, or regulatory purpose whatsoever;
• (f) use the Enhanced Report or any part thereof in any automated system, data feed, or bulk data product;
• (g) represent the Enhanced Report as your own work or as produced by any party other than Locacity;
• (h) publish or make available the Enhanced Report on any website, portal, database, or publicly accessible platform or medium whatsoever.

3.8 Any use of the Enhanced Report that is inconsistent with the terms of this licence is a material breach of these Terms and will result in immediate termination of all licences granted to you under these Terms without any refund whatsoever.

4.1 All intellectual property rights in the Enhanced Reports, including but not limited to their content, methodology, scoring system, ratings, analysis, analytical outputs, design, layout, and presentation, are and remain the exclusive property of Cairngorm Research Limited. Nothing in these Terms transfers any intellectual property rights to you whatsoever.

4.2 The Locacity name and brand are trade marks and trade names of Cairngorm Research Limited. You may refer to Locacity by name in your marketing and communications (for example, “property safety reports provided by Locacity”) provided such references are accurate and do not imply any exclusive relationship, formal partnership, or endorsement between You and Us beyond the purchase of Report Credits under these Terms. Use of the Locacity logo in your own marketing materials requires our prior written consent. Distribution of an Enhanced Report in accordance with these Terms does not constitute a breach of this clause by reason only of the Locacity name, logo, and branding appearing on that Enhanced Report.

4.3 You acknowledge that whilst the underlying data used in Enhanced Reports is sourced from publicly available data, the selection, arrangement, processing, scoring, and presentation of that data in an Enhanced Report constitutes an original intellectual property work in which Cairngorm Research Limited owns all rights.

4.4 You must not do anything that would infringe, dilute, or otherwise harm our intellectual property rights, including but not limited to:

• (a) challenging or contesting our ownership of the intellectual property described in these Terms;
• (b) registering or attempting to register any trade mark, domain name, or other right that is identical or confusingly similar to the Locacity name or brand or which may otherwise constitute passing off;
• (c) representing to any third party that you own or have any rights in the Enhanced Reports beyond the limited licence granted under Section 3.

4.5 If you become aware of any unauthorised use, distribution, sharing or making available of an Enhanced Report or the Locacity brand by any third party, you agree to notify us promptly at contact@locacity.co.uk.

5.1 Enhanced Reports are generated using data sourced from police.uk, data.police.uk, the Office for National Statistics, NHS England, and other sources. All such data is subject to the inherent limitations of those sources, including but not limited to:

• (a) publication delays of approximately one to three months (in some limited instances the delay may be greater);
• (b) incomplete coverage for certain police forces and areas; and
• (c) the possibility that data is erroneous, inaccurate, incomplete or out of date.

5.2 We make no warranty or guarantee whatsoever that the information, data, or content in any Enhanced Report is correct, comprehensive, accurate, complete, or current beyond what was reasonably available to our service at the time of Enhanced Report generation.

5.3 Data coverage is not available for every property address in England and Wales. Known exclusions include Greater Manchester (where Greater Manchester Police does not publish data to Police.uk), Scotland, and Northern Ireland. Data, analysis, and ratings are affected by the proximity of an address to these boundaries and borders. Further details of coverage limitations are available at locacity.co.uk/how-it-works. We do not warrant that an Enhanced Report can be successfully generated for any specific address.

5.4 Nothing in any Enhanced Report should be relied upon as the sole or significant basis for any property purchase decision, property sale decision, property rental decision, property letting decision, property investment decision, or other significant property or financial decision. Nothing in any Enhanced Report should be relied upon as the sole or significant basis for any other type of decision including, but not limited to, a decision about insurance, personal safety, or property security. You must not rely on any Enhanced Report as the sole or significant basis for any such decision.

5.5 You must ensure that any recipient of an Enhanced Report is informed that nothing in the report should be relied upon as the sole or significant basis for any property purchase decision, property sale decision, property rental decision, property letting decision, property investment decision, or any other significant property or financial decision, or any other type of decision including, but not limited to, a decision about insurance, personal safety, or property security, and that independent professional advice should always be sought before making any such decision. You must not represent Enhanced Reports to any recipient as a substitute for independent professional advice. The responsibility for communicating this to recipients of Enhanced Reports rests with You.

6.1 We warrant that:

• (a) We have the right to grant the licences set out in these Terms;
• (b) the Enhanced Reports will be generated using reasonable skill and care.

6.2 Subject to clause 6.4, to the fullest extent permitted by law, We shall not be liable for any direct, indirect, incidental, special, or consequential damages, losses or harms whatsoever arising from or connected with the use of, or inability to use, an Enhanced Report or any content, data, or analysis contained in it, or arising from or connected with any third party data source, including but not limited to loss of profits, loss of data, loss of property, loss of opportunity, business interruption, or other economic or financial loss or damage, or harm, whatsoever, whether in relation to contract, delict, negligence, or other form of action.

6.3 Subject to clause 6.4, our total liability to You in connection with any individual Enhanced Report shall not exceed the price paid by You for the individual Report Credit used to generate that Enhanced Report.

6.4 Nothing in these Terms excludes or limits Our liability for:

• (a) death or personal injury caused by Our negligence which cannot be excluded or limited by law;
• (b) fraud or fraudulent misrepresentation which cannot be excluded or limited by law;
• (c) any other liability that cannot be excluded or limited by law.

6.5 You agree to indemnify and hold us harmless against any legal actions, claims, losses, damages, or costs (including legal costs) whatsoever arising from your use, distribution, sharing, making available, or non-use of an Enhanced Report outside the scope of the licence granted under Section 3, or any breach of these Terms by You.

7.1 These Terms commence on the date We accept your first order and continue until terminated in accordance with this section.

7.2 Either party may terminate these Terms on 30 days' written notice to the other party.

7.3 We may terminate these Terms with immediate effect by written notice to You if:

• (a) You commit a material breach of these Terms and, where the breach is capable of remedy, fail to remedy it within 14 (fourteen) days of written notice requiring You to do so;
• (b) You commit a material breach of these Terms that is not capable of remedy;
• (c) You become insolvent, enter administration, receivership, or liquidation, or make any arrangement with Your creditors;
• (d) You cease or threaten to cease to carry on business.

7.4 On termination of these Terms for any reason:

• (a) all licences granted to You under Section 3 terminate with immediate effect;
• (b) You must immediately cease all use and distribution of Enhanced Reports;
• (c) any unused Credits are forfeited without refund, except where termination is caused by Our material breach of these Terms, in which case We will refund the price paid for any unused Credits on a pro-rata basis;
• (d) any accrued rights or liabilities of either party at the date of termination are unaffected.

7.5 Sections 4 (Intellectual Property), 5 (Data Sources and Accuracy), 6 (Warranties and Liability), 8 (Governing Law), and 9 (General) survive termination of these Terms.

9.1 Entire Agreement. These Terms constitute the entire agreement between the parties in relation to the purchase and use of Report Credits and Enhanced Reports and supersede all previous agreements, understandings, and representations between the parties relating to its subject matter. These Terms do not affect the Terms of Use applicable to use of the locacity.co.uk website, which continue to apply separately. Each party acknowledges that it has not relied on any representation, warranty, or undertaking that is not set out in these Terms.

9.2 Variation. We may update these Terms from time to time by posting without prior notice a revised version at locacity.co.uk/businessterms. Any revisions to pricing will apply to future Credit Bundle purchases only and will not affect the pricing of Credit Bundles already purchased. Your purchase of a Credit Bundle or use of purchased Credits after the date of any revision constitutes acceptance of the revised Terms.

9.3 Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. Any modification or deletion of a provision shall not affect the validity and enforceability of the rest of these Terms.

9.4 Waiver. A failure or delay by either party to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy. A waiver of any breach of these Terms shall not constitute a waiver of any subsequent breach.

9.5 No Partnership or Agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties. You have no authority to bind Us in any way.

9.6 Third Party Rights. These Terms do not confer any rights on any third party under the Contracts (Third Party Rights) (Scotland) Act 2017 or otherwise.

9.7 Notices. Any notice required to be given under these Terms shall be in writing and delivered by email to the email address set out below, or such other address as either party may reasonably notify to the other in writing. Notices shall be deemed received on the next business day after sending, provided no delivery failure notification is received.

9.8 Assignment. You may not assign, transfer, or subcontract any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms to any successor to our business or part thereof.
